These Terms of Service (“Terms”) govern access to and use of the BottleBank.io platform operated by Nuvaryn Pte Ltd (“BottleBank”). By registering an account or using the Platform in any way, the Subscriber agrees to be bound by these Terms in full. If you do not agree, do not access or use the Platform.

1. Definitions

“Platform”The BottleBank.io SaaS application, including the web dashboard, mobile admin app, customer guest portal, and all associated APIs and infrastructure.
“Subscriber”The venue, bar, club, hospitality group, or entity that has registered an account and uses the Platform.
“User Account”An individual (manager or staff member) authorised by the Subscriber to access the Platform under the Subscriber’s account.
“End Customer”An individual patron whose bottle storage data is entered into the Platform by the Subscriber’s staff. End Customers have no direct account with BottleBank.
“Service Data”All data submitted to, stored in, or generated by the Platform under the Subscriber’s account.
“Card Payment Fee”Any applicable processing fee when the Subscriber pays by credit or debit card via Stripe auto-debit.
“Onboarding Fee”A one-time fee of S$499 charged to all new Subscribers, covering platform onboarding, account setup, and staff training.
“Bottle Quota”The maximum number of bottle parking events permitted per calendar month under the Subscriber’s plan.
“Hard Cap”The system-enforced absolute limit of two times (2x) the monthly Bottle Quota. When reached, further bottle parking is blocked until the billing cycle resets.
“Overage”Bottle parking events that exceed the monthly Bottle Quota but remain below the Hard Cap. Overage charges apply automatically.
“Commitment Period”The fixed twelve (12) month term applicable to Annual plan Subscribers.

2. Account Registration and Security

2.1 To use the Platform, the Subscriber must register an account by providing accurate, current, and complete information. The Subscriber must keep this information up to date.

2.2 The Subscriber is responsible for maintaining the security and confidentiality of all User Account credentials, OTP codes, and session tokens. BottleBank recommends that each User Account holder has a unique email address.

2.3 The Subscriber is responsible for all activities conducted under its account, including all actions taken by its User Account holders.

2.4 The Subscriber must notify BottleBank immediately at admin@bottlebank.io upon becoming aware of any unauthorised access to its account or any security breach.

3. Licence to Use the Platform

3.1 Subject to compliance with these Terms and timely payment of all applicable fees, BottleBank grants the Subscriber a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform during the subscription term for the Subscriber’s internal business operations.

3.2 Subscriber Data Use Restrictions: As the Data Controller for End Customer personal data collected through the Platform, the Subscriber agrees that End Customer data:

  • No Marketing Use: Must not be used for any marketing, promotional, or advertising purpose by the Subscriber or any third party.
  • No Third-Party Sharing: Must not be sold, transferred, licensed, or disclosed to any third party for that party’s own use or benefit.
  • No Monetisation: Must not be monetised in any form, including data brokerage, advertising, or sale of data insights.
  • No External Retention: Must not be exported and retained in external systems. All End Customer data is intended for use exclusively within the BottleBank platform.
  • No Repurposing: Must not be repurposed for any other use, including loyalty programmes, third-party apps, or unrelated services.
  • Platform-Only Use: May only be used within the BottleBank platform for managing bottle storage, sending approved transactional notifications, and fulfilling the Subscriber’s bottle storage obligations.

3.3 Venue Privacy Policy Requirement: The Subscriber must maintain a publicly accessible Privacy Policy and provide BottleBank with a valid Privacy Policy URL and Data Protection Officer (DPO) or privacy contact name and email before activating customer-facing features.

3.4 This licence does not include the right to: sublicense, resell, or transfer access to the Platform; reverse-engineer or extract source code; or use the Platform to develop a competing product.

3.5 The total number of User Accounts is limited by the Subscriber’s plan tier: three (3) for Starter, five (5) for Professional, and ten (10) for Enterprise.

4. Platform Features and Functionality

4.1 Core Features

  • Bottle lifecycle management: park, track, extend, transfer, retrieve, and repurpose, with unique serial numbers (BB-YYYY-NNNN).
  • Fill level tracking (0 to 100%) inputted by staff.
  • VIP status management — each customer is designated as VIP or Non-VIP.
  • Colour-coded storage location management with named zones.
  • Automated WhatsApp and email transactional notifications for bottle events.
  • End Customer guest portal (read only, unique URL per customer, no login required).
  • Immutable audit trail of all bottle and staff actions.
  • Role-based access management: Admin accounts (managers) and User accounts (staff).

4.2 Bottle Quota, Overage, and Hard Cap

Each plan includes a monthly Bottle Quota. Exceeding the quota triggers automatic overage charges per Section 8. The Hard Cap (2x the monthly Bottle Quota) is a system-enforced limit — once reached, bottle parking is blocked until the next billing cycle.

4.3 WhatsApp Notifications

WhatsApp notifications are transmitted via Meta-approved transactional templates only. Monthly message pools apply per plan tier. The Subscriber must not use the WhatsApp integration for marketing, promotional, or unsolicited commercial messages. The Subscriber is responsible for ensuring that End Customers have consented to receive WhatsApp messages.

4.4 End Customer Guest Portal

End Customers may access a read only view of their stored bottles via a unique URL. The guest portal is rate-limited to ten (10) lookups per minute per access token.

5. Data Ownership, Restrictions, and No Export Policy

5.1 All customer data collected through the BottleBank platform is intended for use exclusively within the Platform.

5.2 BottleBank does not provide any data export, download, or bulk extraction functionality for customer personal data.

5.3 The extraction of customer personal data for use outside the Platform is a violation of the purpose for which the data was collected under the PDPA.

5.4 Venues may access and view their operational data within the Platform for their own internal business purposes.

5.5 Venues shall not attempt to extract, scrape, copy, harvest, or otherwise export customer personal data from the Platform through any means.

5.6 The Subscriber can fulfil all PDPA obligations directly within the Platform without requiring any data export: Access, Correction, and Deletion are all available to Admin users.

6. Subscription Plans and Pricing

6.1 Available Plans

All fees are in Singapore Dollars (SGD) and exclusive of GST and any applicable Card Payment Fee.

6.2 Billing Cycles

  • Monthly — recurring monthly billing. No commitment required.
  • Annual Upfront — a 12-month commitment billed as a single upfront payment.
  • Annual — Quarterly Instalments — a 12-month commitment with the same annual total split across four (4) equal quarterly payments.

6.3 Annual Commitment Period

Annual plans require a twelve (12) month Commitment Period. During this period, the Subscriber may not downgrade to a lower plan tier or switch to monthly billing. Upgrades are available at any time.

6.4 Annual Plan Renewal

At the end of the Commitment Period, the subscription continues on a rolling monthly basis unless either party provides written notice of non-renewal at least thirty (30) days before the end date.

The Subscriber may change their payment method by notifying BottleBank at admin@bottlebank.io at least five (5) business days before the next billing date.

8. Fees, Billing, Overage, and Taxes

8.1 All Subscription Fees are in SGD, exclusive of GST and the Card Payment Fee where applicable.

8.2 Invoices are issued at the start of each billing cycle and are due within seven (7) days of the invoice date.

8.3 If a Subscriber activates on any date other than the first day of a calendar month, the first invoice will be pro-rated.

8.4 A one-time Onboarding, Setup and Training Fee of S$499 (exclusive of GST) applies to all new Subscribers. This fee is non-refundable once onboarding services have commenced.

8.6 All payment processing is handled by Stripe. BottleBank does not store credit or debit card details.

9. Free Trial

9.1 New Subscribers receive a free trial on their chosen Subscription Plan. No payment or card details are required to start the trial.

9.2 Trial-to-paid conversion is not automatic. There is no auto-charge at the end of the trial.

9.3 Overage charges do not apply during the trial.

9.4 Upon trial expiry without conversion, bottle parking, extending, repark, and transfer operations are blocked. Bottle retrieval, serving, and cleanup remain available.

10. Subscription, Grace Period, and Data Deletion

10.1 As long as the Subscriber’s subscription is paid, the Subscriber retains full access to all Platform features and data.

10.2 Grace Period (Day 0 to Day 7): Upon subscription expiry without renewal, full access continues for seven (7) days with a payment reminder banner.

10.3 Account Lockout (Day 8 to Day 30): Access is suspended. All data remains intact.

10.4 Data Restoration: If payment is received within thirty (30) days, full access is immediately restored with no data loss.

10.5 Data Deletion (Day 30): If payment is not received within thirty (30) days, all data is permanently deleted. This action is irreversible.

10.6 Venues whose data has been deleted may subscribe again as a new account. No historical data will be available.

11. Physical Bottle Custody

11.1 BottleBank is a software platform only. BottleBank does not take physical custody, ownership, or responsibility for any bottles.

11.2 The Subscriber is solely responsible for the physical custody, storage, safekeeping, and return of all bottles.

11.3 In the event of subscription expiry, the Subscriber remains solely responsible for all physical bottles in its possession.

11.4 BottleBank shall not be held liable for any loss, damage, dispute, or claim arising from physical bottle custody.

12. Acceptable Use

12.1 Permitted Use

  • Managing bottle storage records at the Subscriber’s registered venue(s).
  • Creating, editing, and managing End Customer records for bottle management.
  • Sending transactional WhatsApp and email notifications related to bottle storage events.
  • Importing customer data via CSV for onboarding purposes.
  • Configuring VIP status settings, products, storage locations, and notification settings.

12.2 Prohibited Use

  • Using the Platform for any purpose that violates Singapore law.
  • Attempting to access data belonging to another organisation.
  • Sharing User Account credentials with unauthorised persons.
  • Reverse-engineering, decompiling, or extracting source code from the Platform.
  • Circumventing system-enforced quotas, rate limits, or the Hard Cap.
  • Using the WhatsApp integration for marketing or promotional messages.
  • Extracting, scraping, or exporting End Customer personal data for use outside the Platform.
  • Storing prohibited data categories (government IDs, medical data, financial credentials, minors’ data).
  • Uploading malware, offensive content, or material that violates applicable law.
  • Interfering with the Platform’s operation, security, or other users’ access.

13. Termination for Breach

13.1 BottleBank will issue written notice specifying the breach. The Subscriber will have seven (7) days to remedy the breach.

13.2 If not remedied, BottleBank may immediately terminate the account and revoke access.

13.3 Upon termination for breach, BottleBank reserves the right to retain, restrict, or delete data at its sole discretion. No refunds will be issued.

14. Refund Policy

14.1 BottleBank operates a no-refund policy as the default. Refunds are only available in specific circumstances.

14.2 Monthly and Annual Subscription Fees are non-refundable once the billing period has commenced.

14.3 Refund Exceptions

  • BottleBank terminates without cause: Pro-rated refund for the unused portion.
  • Platform unavailable for 72+ continuous hours due to BottleBank’s fault: Credit note applied to the next invoice.
  • Duplicate payment: Full refund within five (5) business days.
  • System error overcharge: Refund of excess within five (5) business days.

14.4 The Onboarding Fee is non-refundable once onboarding services have commenced.

14.5 Overage charges are non-refundable once invoiced.

14.6 All refund requests must be submitted in writing to admin@bottlebank.io with the invoice number, amount, and reason.

BottleBank is not liable for service interruptions or policy changes by any third-party provider.

16. Data Ownership and Privacy

16.1 The Subscriber retains ownership of all Service Data, subject to the Platform-Only Data restrictions in Section 5.

16.2 BottleBank processes Service Data in accordance with its Privacy Policy (BB-LEGAL-002).

16.3 The Subscriber is the data controller for End Customer data. BottleBank acts as data processor.

17. Platform Availability and Maintenance

17.1 BottleBank targets but does not contractually guarantee platform uptime.

17.2 Scheduled maintenance will be communicated with reasonable advance notice. Emergency maintenance may occur without prior notice.

18. Intellectual Property

18.1 All rights in and to the Platform are owned by Nuvaryn Pte Ltd. Nothing in these Terms transfers any ownership right to the Subscriber.

18.2 The Subscriber grants BottleBank a limited licence to process Service Data solely to provide and improve the Platform.

18.3 “BottleBank”, “BottleBank.io”, and associated logos are trademarks of Nuvaryn Pte Ltd.

19. Suspension and Termination

19.1 Either party may terminate the Subscriber’s account by providing written notice.

19.2 Monthly Plans: Cancel at any time. Access continues until the end of the current billing period.

19.3 Annual Plans: Cancel at any time. Access continues until the end of the committed annual term. No refund for the unused portion.

19.4 BottleBank may immediately suspend or terminate an account upon material breach, prohibited use, non-payment, or where continued access poses a legal or security risk.

19.5 Upon voluntary termination, the data deletion timeline in Section 10 applies.

20. Disclaimer of Warranties

The Platform is provided “as is” and “as available” without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, or non-infringement.

21. Limitation of Liability

To the maximum extent permitted by Singapore law, BottleBank’s total aggregate liability for all claims arising under or related to these Terms shall not exceed the Subscriber’s monthly subscription fee, exclusive of any Card Payment Fee or GST.

BottleBank shall not be liable for: loss of revenue, profits, or data; missed or delayed notifications; disputes with End Customers; actions of Subscriber staff; data loss from non-renewal; third-party service failures; physical bottle custody disputes; or any indirect, incidental, special, or consequential damages.

22. Indemnification

The Subscriber agrees to indemnify, defend, and hold harmless BottleBank from and against any claims, damages, liabilities, costs, and expenses arising from: any breach of these Terms; the Subscriber’s unlawful use of the Platform; disputes between the Subscriber and its End Customers; content or data uploaded by the Subscriber’s staff; disputes arising from physical bottle custody; the Subscriber’s failure to comply with applicable law; or any action that causes Meta to restrict BottleBank’s WhatsApp Business API access.

23. Governing Law and Dispute Resolution

23.1 These Terms are governed by and construed in accordance with the laws of the Republic of Singapore.

23.2 The parties agree to first attempt resolution through good faith negotiation. If unresolved within twenty-one (21) days, either party may refer to mediation at the Singapore Mediation Centre.

23.3 If mediation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

24. Modifications

24.1 BottleBank may amend these Terms with thirty (30) days’ prior written notice. Continued use after the amendment date constitutes acceptance.

24.2 BottleBank may add, modify, or discontinue Platform features with reasonable notice. Material feature removals will be communicated at least thirty (30) days in advance.

25. Force Majeure

Neither party shall be liable for any delay or failure to perform obligations under these Terms caused by events beyond its reasonable control, including natural disasters, acts of government, pandemics, internet or telecommunications failures, power outages, or acts of third parties.

26. Entire Agreement

These Terms, together with the Privacy Policy and any applicable Annual Subscription Contract, constitute the entire agreement between the parties and supersede all prior discussions, representations, and agreements.

27. Notices

All formal notices under these Terms must be sent by email. Notices to BottleBank should be sent to admin@bottlebank.io. Notices to the Subscriber will be sent to the registered account email address. Notices are deemed received on the next business day after sending.

28. Severability

If any provision of these Terms is found to be unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
